By creating an account or using the Service, you confirm that:

• You will comply with these Terms and all applicable laws and regulations
• If you are using the Service on behalf of an organization, you have authority to bind that organization to these Terms

Colluno is a collaboration platform designed for content creators and brands. The Service includes:

• Collaboration hubs for managing partnerships and projects
• Content upload, review, and approval workflows
• Invoice creation and management
• File storage and sharing
• Real-time chat and notifications
• Contact and brand management

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. The Service may integrate third-party services. We are not responsible for their availability or actions.

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

When using the Service, you agree to:

• Use the Service only for lawful purposes
• Not upload content that violates any third-party rights
• Not attempt to gain unauthorized access to any part of the Service
• Not interfere with or disrupt the Service or servers
• Not use automated systems or bots without our permission
• Respect the intellectual property rights of others
• Comply with all applicable laws, including data protection regulations

You may not use the Service to:

• Upload, share, or distribute illegal, harmful, or offensive content
• Infringe upon copyrights, trademarks, or other intellectual property rights

• Engage in fraudulent activities or misrepresentation

• Circumvent any security measures of the Service
We reserve the right to remove content or restrict access if required by law or these Terms.

Your Content:
You retain ownership of all content you upload to the Service. By uploading content, you grant Colluno a limited, non-exclusive license to store, display, and process your content solely for the purpose of providing the Service.

Colluno's Content:
The Service, including its design, features, and documentation, is owned by Colluno and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary materials without permission.

Shared Content:
When you share content with other users through collaboration hubs, you grant them viewing and downloading rights as determined by your hub settings.

Invoice Creation:
The Service allows you to create and manage invoices. You are solely responsible for:

• The accuracy of invoice information
• Compliance with applicable tax and commercial laws
• Payment collection and disputes with your clients

Colluno does not validate tax calculations, VAT rates, or legal compliance of invoices.

Service Fees & Payments:
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Current pricing is available at https://colluno.com/pricing. We reserve the right to modify pricing with 30 days advance notice. Continued use after price changes constitutes acceptance of new pricing.

Refunds:
Refund policies are specified in our pricing documentation. Generally, we offer a 14-day money-back guarantee for new subscriptions. Refund requests made after 14 days are reviewed individually, taking into account usage and circumstances.

Subscription Terms:
Subscriptions renew automatically at the end of each billing period unless canceled. You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Unused time during the billing period is generally non-refundable.

Free Trials & Plan Limits:
If you are on a free trial or free plan, your access may be limited by usage caps. If you exceed these limits, we may restrict your access or require an upgrade. When a free trial ends, you must subscribe to a paid plan to continue accessing premium features.

AI-Generated Content:
The Service may include features powered by artificial intelligence ("AI Services"), provided by third parties such as OpenAI (utilizing GPT 4.1-mini). You acknowledge that AI outputs may be inaccurate, offensive, or misleading. You are responsible for verifying all AI-generated content before use or relying on it. AI-generated content does not constitute professional, legal, financial, or tax advice.

Input Rights:
You represent and warrant that you have all necessary rights to any content you submit to AI Services. You agree not to submit sensitive personal data or confidential information to AI Services unless explicitly permitted.

Liability:
Colluno is not liable for any damages arising from your use of AI Services or reliance on AI-generated content.

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR. By using the Service, you acknowledge that:

• You have read and understood our Privacy Policy
• You consent to the processing of your data as described
• When uploading data of third parties, you have obtained necessary consents
• You will comply with data protection laws when using our invoicing features

We use commercially reasonable efforts to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Urgent security updates
• Technical issues beyond our control
• Force majeure events

We will make reasonable efforts to restore service promptly and communicate outages through our status page or email notifications. We do not offer a Service Level Agreement (SLA) unless explicitly agreed in a separate written contract.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "as is" without warranties of any kind
• We do not guarantee the accuracy, completeness, or usefulness of any content
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim
• We are not responsible for content uploaded by users or third-party services

These limitations do not affect your statutory rights under applicable consumer protection laws.

You agree to indemnify, defend, and hold harmless Colluno, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or share through the Service

By You:
You may terminate your account at any time through account settings or by contacting support. Upon termination, your right to use the Service ends immediately. Termination does not trigger an automatic refund for the remainder of the billing period.

By Us:
We may suspend or terminate your account if you:
• Violate these Terms
• Engage in illegal activities
• Fail to pay applicable fees
• Remain inactive for an extended period (at our discretion)

Effect of Termination:
Upon termination, we will retain your data for 30 days to allow for data export. You may export your data during the retention period using available tools or by contacting support. After this period, your data will be deleted in accordance with our Privacy Policy.

Informal Resolution:
Before initiating formal proceedings, we encourage you to contact us to resolve disputes informally. Most issues can be resolved through direct communication.

Governing Law:
These Terms are governed by the laws of the Republic of Bulgaria, without regard to conflict of law principles, unless otherwise required by applicable consumer protection laws.

Jurisdiction:
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Sofia, Bulgaria, unless otherwise required by applicable consumer protection laws.

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending an email notification
• Displaying a notice within the Service

Continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree with the changes, you may terminate your account.

Entire Agreement:
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Colluno.

Severability:
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

Waiver:
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment:
You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
